Bank Islam Brunei Darussalam (BIBD) yesterday announced the launch of its landmark BIBD Sukuk Wakalah Programme, marking an important development in Brunei Darussalam’s Islamic finance landscape and a significant step in the bank’s growth journey, while contributing to the continued advancement of the nation’s financial sector.

The inaugural issuance represents Brunei Darussalam’s first corporate Sukuk Wakalah issuance, introducing a new Shariah-compliant investment opportunity for investors and marking an important moment in the nation’s financial landscape. Institutional investors will be able to participate directly in the primary issuance, while eligible retail investors will have access through BIBD Securities’ Fractional Sukuk offering, with a minimum investment of BND5,000.

The BIBD Sukuk Wakalah Programme was officially launched jointly by Yang Berhormat Dato Seri Setia Dr Haji Abdul Manaf bin Haji Metussin, Coordinating Minister for Economic Policies and Minister of Economy, Trade and Industry, in his capacity as Chairman of Brunei Darussalam Central Bank, and Yang Berhormat Dato Seri Setia Awang Haji Ahmaddin bin Haji Abdul Rahman, Coordinating Minister for Social and Manpower Policies and Minister of Home Affairs, in his capacity as Chairman of Bank Islam Brunei Darussalam Berhad.

The joint launch reflects the shared commitment of key stakeholders towards strengthening Brunei Darussalam’s financial sector, advancing Islamic finance and supporting the continued development of the country’s capital market. It also underscores the significance of the Sukuk as an important milestone not only for BIBD, but also for the broader financial landscape of Brunei Darussalam.

As Brunei Darussalam’s leading Islamic financial institution, BIBD’s entry into the Sukuk market reflects the bank’s commitment to advancing Islamic finance, supporting financial innovation and strengthening the country’s financial sector.

More than an investment opportunity, the Sukuk demonstrates how Shariah-compliant financing solutions can provide organisations with additional avenues to raise capital, diversify funding sources and support long-term growth. Through the BIBD Sukuk Wakalah Programme, BIBD aims not only to access the capital market, but also to build greater awareness and understanding of Sukuk among investors, businesses and the wider community.

The Sukuk represents an important milestone for BIBD and a meaningful step in the growth of Brunei Darussalam’s financial sector. Globally, Sukuk has become a widely recognised financing instrument, supporting business expansion, infrastructure development and long-term investment. As Brunei Darussalam continues its journey towards economic diversification, Sukuk have the potential to support funding needs across a wider range of sectors and activities.

The Sukuk Wakalah Programme is more than financing. It reflects how Sukuk can provide organisations with another avenue to raise funds, support future growth and access new pools of capital while remaining aligned with Shariah principles. The initiative is also intended to encourage broader understanding of how Sukuk can support funding and investment objectives, helping more market participants appreciate the role these instruments can play within a diversified financial market.

By taking this step, BIBD hopes to contribute to a more active and diverse capital market, one that offers greater choice for investors and broader funding options for organisations. As a Partner in Progress, BIBD remains committed to supporting the growth of Brunei Darussalam’s financial sector while expanding opportunities within Islamic finance.

The significance of this Sukuk extends well beyond the issuance itself. As Brunei Darussalam’s first corporate Sukuk Wakalah programme, it marks an important step for the nation’s Islamic capital market and demonstrates how Islamic finance can support broader economic progress. Beyond this inaugural issuance, BIBD hopes the programme can help establish a pathway for future issuers to access the Sukuk market. A broader pipeline of corporate issuances can deepen Brunei Darussalam’s capital market, mobilise domestic capital towards productive economic activity and provide businesses with an additional source of long-term funding alongside traditional bank financing. Through the programme, BIBD is proud to contribute to these efforts while supporting the continued growth of Brunei Darussalam’s capital market.

For investors, the Sukuk provides an opportunity to participate in BIBD’s next phase of growth and transformation. The investment proposition is underpinned by the bank’s strong financial fundamentals, market leadership position, prudent risk management practices, transparent governance framework and unwavering commitment to Shariah principles. These foundations continue to shape how BIBD manages its business, engages with stakeholders and creates long-term value. BIBD’s objective is not simply to grow, but to build an institution that remains resilient, relevant and capable of delivering sustainable value through changing economic and market conditions. These are the foundations that underpin the Sukuk and support BIBD’s long-term commitment to delivering sustainable value.

The bank remains committed to ensuring investors feel supported throughout the process. Together with its advisers, BIBD will continue engaging prospective investors through upcoming awareness and engagement activities, providing opportunities to better understand the Sukuk structure, review the relevant information and seek clarification where required. For BIBD, transparency is not simply about providing information. It is about giving investors the confidence to engage, evaluate opportunities responsibly and make informed decisions based on a clear understanding of both the Sukuk and the institution behind it.

Commenting on the launch, Haji Mohammad Yusri bin Haji Wahsalfelah, Acting Managing Director and Chief Executive Officer of BIBD, said, “This landmark Sukuk represents more than an important milestone for BIBD. It is also an important step in the continued growth of Brunei Darussalam’s Islamic finance landscape. As Brunei Darussalam continues its journey towards economic diversification and sustainable growth, initiatives such as this help expand the range of funding and investment solutions available while strengthening the broader financial sector. A deeper Islamic capital market can give businesses more options to raise funds, attract investment and support future growth.

“We hope this issuance encourages greater participation from both issuers and investors and helps build momentum for the continued growth of Brunei Darussalam’s Islamic capital market. Importantly, investor confidence is built through transparency.

“We remain committed to open communication, strong governance and timely disclosures while ensuring investors have access to the information they need to make informed decisions.

“As a Partner in Progress, BIBD remains committed to supporting national development priorities, advancing Islamic finance and creating long-term value for our customers, stakeholders and the communities we serve.”

Beyond its significance for investors and the development of Brunei Darussalam’s capital market, the Sukuk Programme also highlights the growing depth of expertise within the nation’s financial sector. Guided by a strong and capable leadership team, professionals across BIBD and BIBD Securities worked closely with regulators, advisers, and international market participants to successfully structure and bring the programme to market.

More than delivering Brunei Darussalam’s first corporate Sukuk Wakalah issuance, the programme has demonstrated the ability of local talent to collaborate effectively, while gaining valuable experience in Islamic capital markets. The knowledge, skills, and capabilities developed through this process will help support future Sukuk issuances and contribute to the continued growth and maturity of Brunei Darussalam’s capital market ecosystem.

The launch of the BIBD Sukuk Wakalah Programme marks the beginning of a broader relationship between BIBD and the capital markets. Over the coming months, investors and stakeholders will have further opportunities to engage directly with BIBD and its advisers, gain deeper insights into the Sukuk structure and better understand the information made available to prospective investors. BIBD encourages interested investors to stay connected through its official channels for the latest announcements and updates relating to the programme.

Prospective investors are also encouraged to participate in upcoming engagement sessions, ask questions, review the relevant offering documents carefully and seek clarification where required before making any investment decision. When subscriptions open, investors are encouraged to carefully consider the opportunity, assess the information provided and determine how the Sukuk aligns with their own investment objectives, risk appetite and portfolio requirements.

BIBD acknowledges the support and collaboration of Brunei Darussalam Central Bank (BDCB), as well as the contributions of its advisers, business partners and project stakeholders, whose expertise and partnership have been instrumental in advancing the Sukuk Wakalah Programme. The launch also reflects the dedication of teams across BIBD and BIBD Securities, whose collective effort, commitment and professionalism have helped bring Brunei Darussalam’s first corporate Sukuk Wakalah issuance from concept to market.

BIBD’s Sukuk Wakalah Programme reflects the importance of collaboration in advancing capital market development.

Continued engagement among issuers, investors, regulators and other market participants will be essential in creating a deeper and more vibrant market ecosystem. By broadening access to Shariah-compliant funding and investment opportunities, the initiative aims to support greater market participation, strengthen investor confidence and contribute to the continued growth of Brunei Darussalam’s Islamic capital market.
